Software License Agreement(translation)

This Software License Agreement(“Agreement”) is a binding agreement between you(“User”) and OMRON Corporation(“OMRON”) on the terms and conditions of the license of this Software.

1. The term “Software” used in this Agreement means the computer programs and related documentations identified below. All title, ownership rights and intellectual property rights in and to this Software and any copies thereof remain the sole property of OMRON or its third party suppliers and shall not be assigned to the User under this Agreement.
2. OMRON grants the User a non-exclusive and limited license to use this Software on one computer owned by the User for free of charge.
3. The User may not sub-license, assign, rent nor lease this Software to any third party without prior written consent of OMRON.
4. The User may not make copies of this Software except for backup. The User may also not decompile, reverse assemble and reverse engineer this Software, and take any similar action.
5. The User agrees to keep this Software secret and confidential and not to disclose this Software to any person during the terms of this Agreement and after termination of this Agreement.
6. Omron warrants the media on which this Software （excluding Third-party software） is supplied will be free from defect in materials. If User discovers defect of the media and notice it to OMRON within one（1）　year after User’s downloading of this Software from OMRON’s website, OMRON will, as sole remedy to Licensee, fix or replace this Software without charge.
   The Information contained in this Software and accompanying documentation has been checked carefully. However, OMRON doesn’t assume any Liability for inaccuracies. OMRON reserve the right, at its option, to make changes to any program or documentation in the Software.
   EXCEPT AS SPECIFICALLY PROVIDED ABOVE, OMRON MAKE NO REPRESENTATION OR WARRANTY EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTY OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE.
7. THE ABOVE FIX OR REPLACEMENT SHALL CONSTITUTE THE USER’S SOLE AND EXCLUSIVE REMEDIES AGAINST OMRON AND THERE ARE NO OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTY OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE. IN NO EVENT, OMRON WILL BE LIABLE FOR ANY LOST PROFITS OR OTHER INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THIS AGREEMENT OR USE OF THIS SOFTWARE.
8. OMRON may terminate this Agreement upon notice to the User if the User fails to comply with the terms and conditions of this Agreement. In such event, the User must destroy, delete or remove this Software and all copies thereof.
9. This Agreement shall be governed by and construed under the laws of Japan.
10. The Kyoto District Court in Japan shall have exclusive jurisdiction as the court of first instance over any disputes arising from or relating to this Software between User and OMRON.

This is a translation of the original agreement in Japanese. In the event of any discrepancy, the original agreement in Japanese shall prevail.
